Article 1 Duties of Officers

Section 1. Chairman. The Chairman shall meet with other officers at scheduled and special meetings; appoint special committees as necessary to accomplish objectives of the VSAC; and chair all meetings or designate.

Section 2. Reserved.

Section 3. Treasurer. The Treasurer shall maintain all records of all monetary transactions and supervise the management of the VSAC Treasury, balances accounts monthly and gives a report of the treasury at each meeting; and maintains a current list of assets, expenditures, and provides an audit of VSAC funds.

Section 4. Secretary. The Secretary shall take minutes at all meetings and reads meeting minutes upon request; records attendance at each meeting and prepares meeting minutes for publication.

Section 5. Parliamentarians. The Parliamentarians (Chairperson and VSAC Advisors) shall provide advise on security issues and actively participate in the decision making process and inform the VSAC on activities outside Vandenberg that will benefit security awareness on Vandenberg and the local community.

Section 6. Education Materials Committee Chairperson. Plans, develops, and obtains security materials which will enhance security awareness for the Vandenberg community.

Section 7. Library Committee Chairperson. Serves as the focal point for collection and distribution of educational and training materials. Materials are for the use of government and contractor security representatives.

Section 8. Poster and Newsletter Committee Chairperson. Plans and develops posters, booklets, newsletters, and other materials to promote security awareness.

Section 9. Reproduction Committee Chairperson. Provides for reproduction of materials (slides, videos and other materials) in sufficient copies for VSAC use.

Section 10. Training & Seminar Committee Chairperson. Plans for an organizes security training (seminars, meetings, etc.) to enhance security awareness, and obtains information on and maintains a list of speakers available for security briefings, conferences, and symposia.

Section 11. Threat Assessment Committee Chairperson. Develops threat briefings relative to the Vandenberg area and updates foreign travel materials.

Section 12. General Responsibilities. Each chairperson is responsible for developing committee goals and working with other committee members to achieve those goals and the objectives of VSAC.

Article 2

Election and Voting

Section 1. Nomination. Each candidate must be nominated for office. Winner of the office will be by a plurality vote of the membership present.

Section 2. Officer Election. The officers will be selected by election on a regularly scheduled or special meeting as needed to replace candidates of VSAC committees.

Section 3. Executive Board Election. Reserved.

Section 4. Committee Members. Committee members are not elected. The chairperson is appointed by the VSAC Chairman. Other members of the committee are volunteers from the membership or are appointed by the VSAC Chairman.

Section 5. Voting. Voting may be by secret ballot, or by a show of hands. If by secret ballot, the VSAC Chairman shall designate the officer(s) to receive and count the votes. There will be no proxy vote.

Article 3

Dues or Fees

Section 1. Dues. There will be no dues for members of VSAC.

Section 2. Fees. There will be no fees payable to VSAC. However, organization may donate funds to enhance VSAC efforts.

Article 4

Standing Committees

Section 1. There will be six standing committees: The Eduction Materials Committee, Library Committee, Reproduction Committee, Training and Seminar Committee, Threat Assessment Committee, and the Poster and Newsletter Committee.

Section 2. The Membership and Publicity Committee. Reserved.

Section 3. The Fund-raising Committee. (When appointed) shall organize (to include requesting and obtaining approval for) all VSAC fund-raising activities. This committee shall coordinate all publicity for VSAC's fund-raisers with the membership.

Section 4. The Social Committee. Reserved.

Article 5

Finances and Taxes

Section 1. Responsibility. The Treasurer shall be responsible for all financial accounting of the VSAC's assets and financial liabilities.

Section 2. Financial Statements.

a. The treasurer will prepare an annual financial report as of 1 September each year. The report shall be presented during the monthly meeting of September of each year, or as may be directed by the chairperson.

b. If the treasurer is unable to complete his or her full term of office, the treasurer shall prepare an out-going treasurer's report not less than two weeks, nor greater than four weeks, before the treasurer leaves office. This report shall be presented at the last monthly meeting prior to the treasurer's leave.

Section 3. Audit. Audit of the organization's funds shall be accomplished when there is any indication of fraud or other serious improprieties as determined by a majority of the officers, or by the installation commander or his designee. An audit shall also be accomplished at any other time prescribed by AFI 35-123.

Section 4. Disbursement. No funds shall be disbursed without a receipt. Disbursement of all funds will require the signature of the treasurer and the Chairman or another authorized officer of VSAC specifically designated to co-sign checks as approved by the VSAC officers.

Section 5. Liability.

a. The treasurer shall insure the liabilities of the VSAC do not exceed VSAC's assets.

b. No member of the VSAC, or other officer (other than the Chairperson and the Treasurer), shall have the authority to incur any indebtedness or pecuniary obligation for which the VSAC will be liable, unless, given the authority by the Chairman or the Treasurer.

c. The Chairman or the Treasurer has the authority to obligate the VSAC for liabilities of $100.00 or less. The Chairman or the Treasurer shall obtain the concurrence of a quorum of the VSAC officers for expenditures or obligations in excess of $100.00.

d. Should any member or officer obligate the VSAC without the authority to do so, that member or officer, will be held liable to the VSAC for that obligation.

Section 6. Taxes. The VSAC is exempted from Federal and California State Tax. The Treasurer is responsible for filing Form 1023 with the Key District Director.

Article 6

Insurance Coverage

The risk factor of VSAC's activities shall be reviewed annually to determine if a request for waiver of insurance will be appropriate. The Chairman shall submit a request for waiver of insurance to the Installation Commander annually.
